These Terms and Conditions ("Terms") govern access to and use of the Nova website, mobile applications, and any associated podcast, audio, or digital content services (collectively, the "Platform"), operated by Nova ("Nova", "we", "us", or "our"), accessible at nova.co.rw. By creating an account, accessing free content, or making any payment on the Platform, you ("User", "you") agree to be legally bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Definitions

• "Content" means all podcast episodes, audio recordings, video, articles, artwork, and other material made available on the Platform, whether free or paid.
• "Premium Content" means Content that requires payment of a one-time fee or an active subscription to access.
• "Subscription" means a recurring payment plan granting access to Premium Content for a defined billing cycle.
• "Payment Processor" means any third-party service (e.g., mobile money operator, card processor, or payment gateway) used to process payments on the Platform.
• "Account" means the registered profile a User creates to access the Platform.

2. Eligibility

Free to be used by everyone, wilful consent, By using the Platform, you represent that you meet these eligibility requirements and that all information you provide is accurate and current.

3. Account Registration and Security

• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.
• You must notify Nova immediately at the contact details in Section 19 if you suspect unauthorized use of your Account.
• Nova is not liable for any loss arising from your failure to safeguard your Account credentials.
• Nova reserves the right to suspend or terminate any Account that provides false, misleading, or incomplete registration information.

4. Description of Services

The Platform offers a mix of free and Premium Content, including podcast episodes, written commentary, and related digital resources. Nova may, at its sole discretion, change which Content is designated free or Premium, add new Content categories, or discontinue existing ones, at any time and without prior notice, provided such changes do not retroactively revoke access already validly purchased for the then-current billing period.

5. Payments, Subscriptions, and Fees

5.1 Pricing

All prices for Premium Content and Subscriptions are displayed on the Platform in the applicable currency (Rwandan Francs or another currency as indicated) prior to checkout, inclusive of any applicable taxes unless stated otherwise.

5.2 Payment Methods

Payments may be made via mobile money, debit/credit card. By submitting payment details, you authorize Nova and its Payment Processors to charge the applicable fees.

5.3 Subscription Billing

Subscriptions renew automatically at the end of each billing cycle at the then-current price, unless cancelled by you at least 24 hours before the renewal date through your Account settings. You will not receive a separate reminder before each renewal unless required by applicable law.

5.4 Price Changes

Nova may change Subscription prices with at least 14 days' advance notice by email or in-app notification. Continued use of the Subscription after the effective date of a price change constitutes acceptance of the new price.

5.5 Failed Payments

If a payment fails, Nova may suspend access to Premium Content until payment is successfully completed and may retry the charge using the payment method on file.

5.6 Third-Party Processors

Nova does not store full payment card numbers or mobile money PINs. All payment processing is handled by PCI-compliant or regulator-licensed third-party Payment Processors, and your use of such services is also subject to their own terms and privacy policies.

6. Refunds and Cancellations

• All payments for individual (non-subscription) Premium Content are final and non-refundable once access has been granted, except where the Content was materially undelivered.
• Subscription payments are non-refundable for partial billing periods; cancelling a Subscription stops future renewals but does not refund the current period already paid for.
• Nova reserves the right to deny refund requests that appear fraudulent, abusive, or inconsistent with these Terms.

7. Free Trials and Promotions

Nova may offer free trials, discounted introductory pricing, or promotional codes at its discretion. Unless stated otherwise, a free trial automatically converts to a paid Subscription at the standard price at the end of the trial period unless cancelled beforehand. Promotional offers may be withdrawn, modified, or limited to one redemption per User or household at Nova's discretion.

8. Content License and Intellectual Property

8.1 Ownership

All Content, including the Nova name, logo, artwork, episode titles, scripts, and recordings, is owned by Nova or its licensors and is protected by copyright, trademark, and other intellectual property laws of Rwanda and applicable international treaties.

8.2 Limited License

Subject to your compliance with these Terms and, where applicable, payment of the relevant fee, Nova grants you a limited, non-exclusive, non-transferable, revocable license to stream or access Content for personal, non-commercial use only.

8.3 Restrictions

You may not download (except where an explicit download feature is provided), copy, redistribute, publicly perform, broadcast, sublicense, sell, or create derivative works from any Content without Nova's prior written consent. You may not circumvent any access controls, paywalls, or digital rights management measures on the Platform.

8.4 User Submissions

If the Platform allows you to submit comments, reviews, or other material, you grant Nova a worldwide, royalty-free, perpetual license to use, reproduce, and display such submissions in connection with operating and promoting the Platform, and you represent that you own or have the rights to submit such material.

9. Prohibited Conduct

• Sharing Account credentials or Premium Content access with individuals who have not paid for it.
• Using automated means (bots, scrapers) to access, download, or index Content.
• Attempting to reverse-engineer, decompile, or bypass any security or payment verification mechanism.
• Uploading or transmitting any unlawful, defamatory, obscene, or infringing material through any interactive feature of the Platform.
• Using the Platform for any fraudulent payment activity, including chargebacks initiated in bad faith after receiving access to Content.

Violation of this Section may result in immediate suspension or termination of your Account without refund, and Nova reserves the right to pursue any available legal remedy.

10. Availability and Modifications to the Platform

Nova strives to keep the Platform available at all times but does not guarantee uninterrupted, error-free, or secure access. The Platform may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond Nova's reasonable control. Nova reserves the right to modify, suspend, or discontinue any part of the Platform, including specific Content, features, or pricing tiers, at any time.

11. Disclaimer of Warranties

The Platform and all Content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law. Nova does not warrant that the Content is complete, accurate, or suitable for any particular purpose, including medical, legal, financial, or spiritual advice; Content is provided for informational, mindfulness or initiation of own's thinking and decisions.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Nova and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of, or inability to use, the Platform.

13. Indemnification

You agree to indemnify and hold harmless Nova, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of any applicable law or third-party right.

14. Data Protection and Privacy

Nova collects and processes personal data, including payment-related information, in accordance with its Privacy Policy and Rwanda's Law N°058/2021 of 13/10/2021 relating to the protection of personal data and privacy. By using the Platform, you consent to such collection and processing as described in the Privacy Policy, available on the Platform. Payment card and mobile money credentials are handled directly by licensed Payment Processors and are not retained by Nova beyond what is necessary for transaction records.

15. Termination

Nova may suspend or terminate your Account, with or without notice, if you breach these Terms, engage in fraudulent payment activity, or for any other reason at Nova's reasonable discretion, including discontinuation of the Platform. Upon termination, your right to access Premium Content ceases immediately, and no refund will be due for the remaining portion of any active Subscription unless required by law. You may terminate your Account at any time by contacting Nova or using the account deletion option, subject to Section 6 on refunds.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Rwanda. Any dispute arising out of or relating to these Terms or your use of the Platform shall first be addressed through good-faith negotiation; if unresolved within 30 days, the dispute shall be submitted to the competent courts of Rwanda, or to arbitration under the Kigali International Arbitration Centre (KIAC) if the parties mutually agree in writing.

17. Changes to These Terms

Nova may update these Terms from time to time to reflect changes in its services, legal requirements, or business practices. Material changes will be notified via email or a prominent notice on the Platform at least 14 days before taking effect. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.

18. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nova regarding use of the Platform.
